Kuzado Docs Product-Specific Terms

1. Incorporation and scope

These terms supplement the Terms and Conditions and are incorporated into each purchase of Kuzado Docs. The confirmation identifies the purchased Plan, quantities, modules, limits and integrations.

Docs is purchased independently from Inceptiva and Kuzado CRM. Its activation, modification, cancellation or termination does not by itself modify subscriptions to the other products.

2. Product description

Kuzado Docs enables Customers to store, organize, version, search, share and process documents within an Organization, subject to product, repository and folder permissions.

The available capabilities, supported formats, size limits, storage, versions, automations, connectors, exports and artificial intelligence features depend on the purchased Plan.

3. Files, versions and content

The Customer is responsible for files added to the Service and for configuring their visibility. The Customer must have the necessary rights, authorizations and legal bases for the documents and data being processed.

The Service may generate technical derivatives, such as previews, extracted text, thumbnails, indexes and processing statuses, in order to provide the requested functions.

4. Users, permissions and sharing

The Customer will manage Users, permissions, repositories, folders, links and other access mechanisms. It must review and revoke access when no longer required and pay particular attention to download, sharing, approval and deletion permissions.

5. Connectors

When the Customer connects Google Drive, OneDrive or SharePoint, it will select the authorized sources and permissions. Synchronization may create a copy of the selected content in Docs.

Disconnecting a connector stops new access by the Service through that connector, but does not automatically delete copies already imported. The Customer may delete them using the available functions or under the applicable termination and deletion procedure.

Data obtained through Google Workspace APIs will not be used for advertising, commercial profiling, resale, credit assessment, or the training or improvement of general-purpose or non-personalized artificial intelligence models.

6. Security and intelligent processing

Docs may perform security analysis, quarantine and technical conversion before making a file available to certain functions. No control by itself guarantees detection of all threats.

When the Customer enables an artificial intelligence feature, Docs may send Inceptiva the minimum documents, excerpts and instructions necessary. The Customer must review the output where it may affect material decisions or actions.

7. Free trial

Where offered in the catalog and confirmation, a Docs trial will last exactly 14 × 24 hours, with its start and expiry calculated in UTC. Each Organization may use one standard Docs trial; any repeat trial requires express commercial authorization. The trial will not automatically convert to a paid Plan or generate charges upon expiry. To continue, the Customer must expressly purchase a paid Plan.

Upon expiry, operational rights to Docs will be suspended, but the administrative access necessary to purchase and request the available export will remain. Preserved Content may be recovered if a Plan is purchased before its deletion or anonymization. Expiry will not affect Inceptiva, CRM or their respective trials or Subscriptions.

The standard schedule for export, deletion or anonymization and the expiry of residual copies will be the schedule established in the General Terms, without prejudice to the separate rights and procedures set out in the DPA and applicable law.

8. Exportable data and switching

Without prejudice to the DPA and legally permitted exclusions, exportable Docs data includes:

  • original files and versions retained for the Organization;
  • folder structure, names, tags, fields and document metadata;
  • comments, approval decisions and relationships between documents accessible to the Organization;
  • templates and configurations provided by the Customer;
  • generated derivatives retained as functional Customer Content; and
  • functional metadata generated or co-generated through use of the product that is necessary to interpret and reuse the documents.

Files will be provided in their original format. Indexes, relationships and metadata will be provided in JSON, CSV or another structured, commonly used, machine-readable format identified in the export feature.

The software, conversion engines, security mechanisms, secrets, credentials, internal indexes that can be reconstructed from the exported data and third-party assets whose delivery is not permitted are excluded. These exclusions will not be used to improperly prevent or delay switching.

The procedure, notice, transition, extraction, assistance, permitted charges and deletion are governed by the General Terms.

9. Data protection and termination

When KUZTOMER TECH IBERIA, S.L. processes documents and data on the Customer's documented instructions, it will act as processor and the DPA must be validly incorporated before processing begins.

Following termination, the extraction, deletion and blocking periods established in the General Terms and, where applicable, the DPA will apply. Termination of Docs does not by itself affect Inceptiva or CRM.
